Terms of Service

The agreement between you and us when you use SynapseOrch Cloud.

Last updated: 9 September 2026

1. What these terms cover

These terms govern your use of SynapseOrch Cloud, our hosted service, and of synapseorch.com. “SynapseOrch”, “we” and “us” mean the operator of the service: the legal entity named on your invoice or order, and otherwise the entity that publishes this page. By creating an account or using the service, you agree to these terms. If you are agreeing on behalf of a company, you confirm you have the authority to bind it, and “you” means that company.

The open-source project is separate. SynapseOrch is published under the AGPL-3.0 licence, and if you self-host it, that licence, not this agreement, governs your use. These terms apply only to the service we operate for you.

If you have signed a separate agreement with us, that agreement wins where the two conflict. The Privacy Policy and any Data Processing Addendum form part of these terms.

2. Your account

  • You must be 18 or older and provide accurate account information.
  • You are responsible for everything done under your account, including by your team.
  • Keep your password and API keys secret. Tell us promptly if you think they have leaked.
  • A workspace has an owner and members. The owner controls billing, membership and workspace settings, and can see workspace content and audit records. Roles you grant to members are your decision.

3. Plans, credits and billing

  • Execution is metered in credits. Each step a workflow executes is priced by its type, at the per-step prices published on our pricing page and in our documentation. A run consumes the greater of its steps’ prices and one credit for each started minute of active time, and at least one credit. Time waiting for a person or in a queue is not active time and never counts. Building things (creating agents, workflows, tools or connections) does not consume credits.
  • Included credits do not roll over. They reset at the start of each billing period.
  • At the allowance, execution pauses until the next period, with warnings on the way there, unless you buy more credits or change plan. Nothing is billed beyond the plan and the credits you buy.
  • Managed model usage draws on a prepaid wallet separate from plan credits. You top it up in advance; we spend it as your workflows call models we operate. Prepaid balance expires twelve months after purchase, is not refundable except as section 3 says, and is not transferable. A run that cannot afford its estimate does not start.
  • Subscriptions renew automatically, monthly or yearly as you chose, until cancelled. You may cancel at any time and keep access until the end of the period you have paid for.
  • Upgrades take effect immediately and are prorated. Downgrades take effect at the next renewal. Seats above the included count are billed at the published rate.
  • Fair-use limits on the number of workflows, agents and builders are published with each plan. They exist to protect the service, and we raise them on reasonable request.
  • Prices are exclusive of taxes unless stated. You are responsible for any taxes that apply to you. We may change prices with at least 30 days’ notice, effective at your next renewal.

Fees already paid are non-refundable except where the law requires otherwise, where we have clearly failed to deliver the service, or as set out on our refunds page. If you dispute a charge, tell us within 30 days of the invoice.

4. Early access and beta features

Parts of the service may be labelled early access, beta, preview or planned. They may change or be withdrawn without notice, are excluded from any availability commitment, and are provided as-is. Nothing on our website describing a planned feature is a promise to deliver it or a reason to rely on it when buying.

5. Acceptable use

You may not use SynapseOrch Cloud to:

  • break the law, or infringe anyone’s rights, including their privacy;
  • send spam or unsolicited bulk messages, or operate mailing lists through our email or messaging delivery;
  • attack, probe or overload our systems or anyone else’s, including using our runtime to scan, brute-force or denial-of-service a third party;
  • mine cryptocurrency, or run workloads unrelated to workflow automation;
  • circumvent metering, quotas, rate limits or plan restrictions, or share one account across organisations to avoid seat charges;
  • generate content that sexualises minors, incites violence, or is designed to deceive people about who is speaking to them;
  • resell raw model access as if it were your own inference service;
  • reverse-engineer the service, except where the law or the AGPL-3.0 code already lets you.

We may suspend a workspace that is doing any of the above, or that presents a security risk to others. Where the situation allows, we will warn you first and lift the suspension once the issue is resolved.

6. Your content

You own what you put in. Your workflows, prompts, documents, memory and outputs remain yours. You grant us only the limited licence needed to host, process, transmit and back them up in order to run the service for you, nothing more. We do not use your content to train models, and neither do the providers we route inference through.

You are responsible for having the right to use whatever you upload or connect, for the personal data your workflows handle, and for the consequences of what your workflows do, including messages your agents send to your customers.

Export. You can export your workspace content at any time from your settings, and for 30 days after termination on request.

7. AI output

Model output can be wrong, biased or fabricated. It is not professional advice. Check anything that matters before you rely on it, and keep a human in the loop for consequential decisions. Output is generated for you and, as between you and us, is yours; the same or similar output may be generated for other customers. We do not warrant that output is accurate, original or fit for any purpose, and we are not liable for decisions made on the strength of it.

8. Third-party services

The product lets you connect outside services: model providers, APIs, messaging platforms, MCP servers, your own databases. Those connections are governed by their providers’ terms, and we are not responsible for what they do, how they change, or what they charge. If one of them breaks, your workflow may break with it.

9. API and rate limits

You may use our API to build on the service, within your plan’s limits and these terms. We may rate-limit or throttle requests to protect the service, and we will publish material API changes with reasonable notice. API keys are credentials under section 2.

10. Availability

We aim to keep the service running and will give notice of planned maintenance where we can. We do not currently offer a contractual uptime commitment except under a negotiated agreement. Free plans and early-access features are provided as-is, with no availability commitment at all.

11. Suspension and termination

  • You may close your account at any time from your settings.
  • We may suspend or close an account for non-payment, for a breach of section 5, or where required by law. We may close free workspaces that have been inactive for 12 months, after emailing the owner.
  • After termination we delete your workspace content on the schedule set out in our Privacy Policy. Export anything you want to keep first.
  • Sections 6, 7, 12, 13, 14 and 15 survive termination.

12. Warranties, liability and indemnity

The service is provided “as is”. To the fullest extent the law allows, we disclaim implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

To the fullest extent the law allows, neither party is liable for indirect, incidental, special or consequential loss, or for lost profits, revenue or data. Our total liability in any twelve-month period is limited to the amount you paid us in that period, or US$100 if you paid nothing. Nothing here limits liability that cannot lawfully be limited, including for fraud.

You will defend and indemnify us against third-party claims arising from your content, your workflows, or your breach of section 5. We will defend and indemnify you against third-party claims that the service, used as permitted, infringes their intellectual property, except where the claim arises from your content, your connections, or open-source components under their own licences.

13. Feedback and publicity

If you send us feedback or suggestions, we may use them without obligation to you. We will not use your name or logo publicly, or describe your use of the service, without your written consent.

14. Changes

We may update these terms. If a change materially affects you, we will email account holders at least 30 days before it takes effect. Continuing to use the service after that means you accept the new terms. If you do not, you may cancel before the change takes effect.

15. Governing law and disputes

These terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-law rules, and the United Nations Convention on Contracts for the International Sale of Goods does not apply. The state and federal courts located in Delaware have exclusive jurisdiction over any dispute, and each party submits to it. Before starting a claim, each party will try in good faith to resolve the dispute by discussion for at least 30 days. Nothing prevents either party seeking urgent relief in any court to protect its intellectual property or confidential information.

16. General

  • Force majeure. Neither party is liable for delay or failure caused by events beyond its reasonable control.
  • Assignment. You may not assign these terms without our consent. We may assign them to a successor of the business, and will tell you if we do.
  • Severability. If a provision is unenforceable, the rest stays in force.
  • Entire agreement. These terms, the documents they refer to, and any signed agreement between us are the whole agreement, and replace prior discussions.
  • Notices. We notify you by email to your account address. You notify us at the address below.
